1. Provider and scope
These Terms of Service govern the use of the TalePal software (the "Software"), a writing companion extension for Visual Studio Code, provided by:

They apply to all license purchases and use of the Software, unless otherwise agreed in writing.
2. Merchant of Record (Paddle)
Orders for paid licenses are processed by our reseller and Merchant of Record, Paddle.com Market Limited (Judd House, 18–29 Mora Street, London EC1V 8BT, United Kingdom) ("Paddle"). When you purchase a license, Paddle is the seller of record, handles payment, invoicing and applicable taxes, and the Paddle Buyer Terms additionally apply to that transaction.
3. The Software
TalePal is an extension for Visual Studio Code that assists with creative writing. The functionality offered is described on this website and in the documentation. AI features may rely on third-party AI providers that you configure yourself; their use is subject to their respective terms.
4. Conclusion of contract
The presentation of the Software on this website does not constitute a binding offer. By completing the checkout you submit a binding offer to purchase a license. The contract is concluded when we (or Paddle on our behalf) confirm the order or deliver the license key.
5. License grant
Upon full payment, we grant you a perpetual, non-exclusive, non-transferable lifetime license to use the Software for its intended purpose on the number of machines stated at checkout. You may not resell, sublicense, distribute, reverse engineer (except where permitted by mandatory law), or remove license protection from the Software.
Your license includes the version current at the time of purchase and all updates released within 12 months of your purchase — including minor updates, patches, and any major version released in that period. After this period you keep your installed version and all updates received so far permanently. Access to major versions released after your update period requires an optional paid upgrade. This is not a subscription: nothing is deactivated, and continued use of your version never requires further payment.
6. Prices and payment
Prices are shown at checkout and are stated including applicable VAT/sales tax where required. Payment is handled by Paddle using the payment methods offered there. A valid license requires successful payment.
7. Delivery
The Software is delivered digitally. After successful payment you receive your license key and activation instructions by email and/or on the confirmation page. There is no shipment of physical goods.
8. Right of withdrawal and refunds
Consumers in the EU have a statutory right of withdrawal for digital products. In addition, we offer a 14-day money-back guarantee. Details, conditions and how to request a refund are set out in our Refund Policy.
9. Availability and updates
We aim to keep the Software functional and may provide updates from time to time. We do not guarantee uninterrupted availability of any online components or that the Software is free of all errors.
10. Warranty and liability
Statutory warranty rights apply. To the extent permitted by law, we are liable without limitation only for damages resulting from injury to life, body or health, from intent or gross negligence, or under mandatory statutory provisions (e.g. product liability). For slight negligence we are liable only for breach of an essential contractual obligation (cardinal duty), and limited to the foreseeable damage typical for this type of contract. Any further liability is excluded.
11. Acceptable use
You agree not to use the Software for unlawful purposes or in a way that infringes the rights of third parties. You are responsible for the content you create using the Software.
12. No subscriptions
TalePal is sold as a one-time purchase. There are no subscriptions, no recurring charges and nothing to cancel — your lifetime license stays valid after a single payment. Optional upgrades to future major versions (see section 5) are themselves one-time purchases, not recurring charges. The right to terminate for good cause remains unaffected.
13. Changes to these terms
We may amend these terms where necessary (e.g. due to changes in law or our services). The current version is always available on this page.
14. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of your country of residence remain unaffected.
15. Dispute resolution
The EU Commission provides a platform for online dispute resolution (ODR) at https://ec.europa.eu/consumers/odr/. We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
